We are seeking a highly motivated and skilled Transactional Associate Attorney with 2+ years of experience in corporate, construction, real estate, or mergers and acquisitions (M&A) to join our growing team!
Position Overview: The ideal candidate will work closely with senior attorneys to handle a variety of complex transactional matters, including corporate governance, mergers and acquisitions, commercial real estate transactions, and construction-related agreements. Key Responsibilities
- Draft, review, and negotiate contracts, including but not limited to corporate, construction, real estate, and M&A agreements.
- Advise clients on legal and regulatory compliance matters in the transactional space.
- Assist in the due diligence process for M&A transactions and other business deals.
- Provide strategic counsel to clients on risk management and legal structure.
- Prepare legal documents, including board resolutions, partnership agreements, purchase agreements, and leases.
- Conduct legal research and stay updated on relevant laws and regulations.
- Support senior attorneys in all phases of transactional work, including post-transaction matters.
- Represent clients in negotiations and assist in conflict resolution.
Qualifications
- Juris Doctor (JD) from an accredited law school.
- 2+ years of experience in corporate, construction, real estate, or M&A practice areas.
- Strong drafting and negotiation skills.
- Solid understanding of business law and the ability to work on multiple projects simultaneously.
- Exceptional communication and interpersonal skills.
- Ability to work both independently and as part of a collaborative team.
- Texas bar admission or eligibility to obtain.
