Summary of the Role

At Nehru & Co., we are looking for a detail-oriented and dynamic Senior Associate to join our Corporate & Commercial Law team. This role offers the opportunity to work on high-value transactions, client strategy, contract negotiations, and advisory services across a wide array of corporate and regulatory matters. You will be on the front lines of client interactions, contract drafting, and strategic legal planning.

Responsibilities

• Conduct client meetings and develop legal strategies for corporate matters.
• Draft and vet legal documents, including Share Purchase Agreements, Shareholders Agreements, Term Sheets, MOA, AOA, Business Transfer Agreements, SaaS & Licensing Agreements, Service, Vendor, Distributor, Employment, Consultancy, Outsourcing, and IP Agreements.
• Negotiate agreements with counterparty counsel.
• Advise on applicable stamp duties and registration procedures.
• Draft legal compliance reports covering labour, IP, data protection, and environmental laws.
• Prepare due diligence reports and legal opinions on corporate, labour, and IP laws.
• Draft legal notices, replies, etc.
• Prepare website and employee policies, handbooks, and safety compliance manuals.
• Handle trademark filings, oppositions, examination replies, and status tracking.
• Mentor junior associates and review their deliverables.

Qualifications

• Education: LL.B. from a recognized university (LL.M. is a plus).
• Experience: 4 to 7 years in a law firm or in-house legal team with focus on corporate and commercial law.
• Skills:
• Strong drafting and negotiation skills.
• In-depth knowledge of contract, corporate, labour, IP, and data protection laws.
• Excellent communication, legal research, and analytical thinking.
• Ability to handle clients independently.
• Comfort with litigation support and arbitration procedures.
• Certifications: Any additional certifications in Corporate Law, IPR, or Arbitration will be valued.
